A. The owner of Gamahucher Press and its agents and representatives (hereinafter
jointly referred to as "Owner") holds exclusive rights to all work and
derivative publications, including electronic media, digital media, online
services and any other medium which may be developed during the term of this
agreement ("Derivative Publications"), represents and warrants that it is fully
authorized and/or licensed to publish, and to permit others to publish
(including the right to duplicate, distribute, create derivative works, and
publicly perform or publicly display, as applicable), the entire contents and
subject matter contained in and accompanying the book list, collectively
referred to herein as the "Catalogue," provided to Gamahucher Press., or its
affiliated publishers (collectively "Publisher"), including without limitation (i)
the names, portraits and/or pictures of living persons or property, (ii) any
copyrighted material, and (iii) any testimonials contained in the Catalogue
Material. Every Individual, Company, Organisation and its agents and representatives (hereinafter jointly referred to as "Visitor") seeking to purchase any publications from the Catalogue agree to be bound by these terms and conditions. Publisher intends all books to be published in a size and manner in which it will be convenient for the Publisher. Publisher reserves the right to select the style to be included for the Derivative Publications and, in its sole discretion, to exclude and refuse to publish other Derivative Publications. Publisher does not assume and hereby disclaims any liability to Owner for the failure or refusal to include any Derivative Publications or for errors or omissions in any listing and part of the Derivative Publications, whether such exclusion, errors, or omissions result from negligence, accident or any other cause. In consideration of Publisher's acceptance of the Catalogue, Owner shall indemnify, defend and hold harmless the Publisher and all persons involved with the copying, printing, publishing, performance, display and sale of Derivative Publications from and against all loss, liability, damage and expenses of any nature arising out of or resulting from the copying, printing, publishing, performance, display or sale of Derivative Publications with the Catalogue, including, without limitation, reasonable attorneys' fees resulting from claims or suits for libel, violation of rights of privacy, plagiarism, copyright and trademark infringement, misrepresentation, negligence or other theory of liability. ---------------------------------------------------------------- B. The terms and conditions described herein are subject to change by Publisher without notice. ---------------------------------------------------------------- C. All contents of the Catalogue are subject to Publisher's approval and editing. Publisher reserves the right to reject or cancel all or any part of the Catalogue and delete any Derivative Publications if, for any reason, Publisher deems the Derivative Publications to be unacceptable. ---------------------------------------------------------------- D. Format, printing and selection of the Derivative Publications contained in the Catalogue are at the discretion of the Publisher except where an arrangement for a specific preferred format, position or selection is acknowledged by Publisher in writing. ---------------------------------------------------------------- E. Publisher shall not be liable for errors made in publishing any item in the Catalogue or Derivative Publications. ---------------------------------------------------------------- F. All prices subject to change without notice. ---------------------------------------------------------------- G. Cancellations or changes in orders may not be made by the Visitor or its agency except at the discretion of the Publisher. ---------------------------------------------------------------- H. Publisher shall not be liable for delays in delivery and/or non-delivery in the event of an act of God, action by any governmental or quasi-governmental entity, fire, flood, accidents, insurrection, riot, explosion, embargo, strikes whether legal or illegal, labor or material shortage, transportation interruption of any kind, work slowdown, or any other condition or cause affecting production or delivery in any manner. ---------------------------------------------------------------- I. The listings of new work selected for inclusion in the Catalogue or Derivative Publications and changes to the listings of book titles in the Catalogue are subject to change at any time at the discretion of the Publisher. ---------------------------------------------------------------- J.
